Terms for organizations

Last updated October 9, 2026

These terms are an agreement between PDM Group (“PDM Group”, “we”, “us”) and the health center, clinic, county or other organization (“you”) that uses Plaid Orca. They apply to everyone at your organization who signs in. By accepting them, you confirm that you can agree to them for your organization. Version 2026-10-09.

In short: Plaid Orca is offered to you free of charge for evaluation. PDM Group owns Plaid Orca and everything that makes it work, including anything set up or built for your organization. You get permission to use it while your access lasts, and that permission ends when your access ends. Don't enter patient information.

1. What these terms cover

“Service” means Plaid Orca: the website, the staff dashboard, the patient finder widget, the embed code, the provider data and how it is organized, the verification records, documentation, and any updates. “Your Content” means your organization's name, logo, phone numbers, clinic site addresses, branding settings and the notes your staff enter. “Verifications” means the outcomes your staff record about providers, such as whether an office is taking new patients, wait times, languages and referral requirements.

2. Evaluation access

  • The Service is provided to you at no charge, for you to evaluate and to offer the finder to your patients during the evaluation.
  • There is no service level, support commitment or guaranteed availability during evaluation.
  • We may change, suspend or end the Service, or your access, at any time.
  • Any paid subscription or different terms apply only if both of us sign a separate written agreement. Nothing in the evaluation obligates either of us to enter one.

3. Ownership

PDM Group owns all rights, title and interest, including all intellectual property rights, in the Service. This includes the software, source code, embed code, designs, screens, text, translations, workflows, provider data compilations and classifications, the verification database, aggregated and de-identified usage data, and documentation.

This also includes every improvement, modification, configuration, customization, feature and derivative work, even if it was made for you, at your request, using your feedback, or with your participation. None of it is “work made for hire” for you, and no ownership transfers to you under these terms or through your use. If you ever acquire any right in the Service, you assign it to PDM Group. The only rights you have are the ones in section 4, and all other rights are reserved.

4. Your permission to use the Service

While your access lasts, we give you a limited, non-exclusive, non-transferable, non-sublicensable and revocable permission to:

  • use the staff dashboard for your organization's own internal work; and
  • place the embed code on websites that you own or control and that are listed as allowed domains, so your patients can use the finder.

5. What you may not do

  • Copy, modify, translate or create derivative works of the Service, except for the branding settings we provide.
  • Reverse engineer, decompile or try to get the source code, data structure or provider classifications.
  • Scrape, bulk-download, export or republish the provider data or verifications, except for viewing individual records in the normal course of use.
  • Build, or help someone else build, a product that competes with the Service, or use the Service to benchmark one.
  • Resell, sublicense, rent or provide the Service to anyone outside your organization, or put it on websites you don't control.
  • Remove or hide any ownership, copyright, trademark or “Powered by Plaid Orca” notice.
  • Share your sign-in, get around security or access controls, or test the Service's security without our written permission.
  • Use the Service in a way that breaks the law or misleads patients.

6. Your Content and Verifications

You keep ownership of Your Content. You give us permission to host, copy, display and process Your Content to run the Service, including showing your name, logo and phone number in your finder. We won't name your organization publicly as a participant without your permission.

Verifications are meant to help every patient using the Service, not only yours. You give PDM Group a perpetual, irrevocable, worldwide, royalty-free permission to use, copy, change, combine and share Verifications. This includes showing them to patients and other organizations. This permission continues after your access ends. Your staff's notes stay visible only to your organization, and to us when needed to operate, secure and support the Service.

7. Feedback

If you share ideas, suggestions or feature requests, we may use them for any purpose, without payment or obligation to you, and they become part of the Service that PDM Group owns.

8. Patient information

The Service is designed so that no patient information is needed. You agree not to enter protected health information or other information that identifies a patient anywhere in the Service, including notes. This includes names, birth dates, Medi-Cal numbers, immigration status and diagnoses. PDM Group does not act as your business associate under HIPAA and will not sign a business associate agreement for the evaluation. If patient information is entered by mistake, tell us at patrick@pdmgrp.com and we will delete it.

9. Your responsibilities

  • Record Verifications honestly and as accurately as you can.
  • Keep sign-ins secure, invite only people who work for or with your organization, and remove people who leave.
  • Make sure your staff follow these terms. You are responsible for what happens under your organization's accounts.
  • You are responsible for your own website, your own communications with patients, and how you describe the Service to them.

10. Confidentiality

Non-public information about the Service is PDM Group's confidential information. This includes unreleased features, designs, roadmaps, pricing, provider classifications, data methods and the terms of this evaluation. Use it only to evaluate the Service, share it only with your staff who need it, and protect it at least as carefully as your own confidential information. These duties continue for three years after your access ends. For trade secrets, they continue for as long as the information remains a trade secret.

11. Ending access

Either of us may end your access at any time, for any reason. When access ends:

  • your permission in section 4 ends, and the finder will stop working on your websites, so remove the embed code;
  • we may delete your organization's account, settings and notes 90 days later, or sooner if you ask;
  • Verifications, aggregated and de-identified data, and PDM Group's ownership stay as described above.

Sections 3 and 5 through 15 continue after access ends.

12. Disclaimers

The Service is provided “as is” and “as available.” To the fullest extent the law allows, PDM Group disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement. Provider information comes from the State of California and from Verifications, and it may be incomplete, out of date or wrong. The Service gives information, not medical, legal or eligibility advice.

13. Limits on liability

To the fullest extent the law allows, PDM Group is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill. PDM Group's total liability for all claims about the Service is limited to one hundred U.S. dollars (US$100). These limits apply even if a remedy fails of its essential purpose.

14. Your promise to cover certain claims

You will defend and indemnify PDM Group against third-party claims, and related costs, that arise from Your Content, your websites, patient information you entered, or your breach of these terms.

15. General

  • California law governs these terms, without regard to conflict-of-law rules. The state and federal courts for Napa County, California have exclusive jurisdiction.
  • You may not transfer these terms without our written consent. We may transfer them to an affiliate or to a successor to our business.
  • We may update these terms. When we do, we'll ask you to accept the new version before you continue using the dashboard. Earlier versions keep applying to the period they covered.
  • These terms are the entire agreement about the evaluation, and they replace earlier discussions about it. If any part can't be enforced, the rest still applies. Not enforcing a right isn't a waiver of it.
  • We are independent parties. Nothing here creates a partnership, joint venture or agency.
  • Send notices to patrick@pdmgrp.com. We'll send notices to the email address of your organization's admin.
